1. Acceptance of Terms
Welcome to DynaTax AI. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
These Terms constitute a legally binding agreement between you and DynaTax AI Inc. ("DynaTax AI," "we," "us," or "our").
2. Description of Services
DynaTax AI is a Technology Marketplace Platform, NOT a Tax Preparation Service
DynaTax AI provides:
- AI-powered document processing and financial data categorization
- A marketplace platform connecting business clients with independent licensed tax professionals (CPAs, Enrolled Agents, Tax Attorneys)
- Technology tools for document management, bank account integration, and AI-generated insights
- Export functionality allowing tax professionals to download client data to external tax preparation software (Drake, ProSeries, Lacerte, etc.)
DynaTax AI Does NOT:
- Prepare tax returns
- File tax returns with the IRS or state tax authorities
- Provide tax, legal, or accounting advice
- Employ or control tax professionals (they are independent contractors)
- Guarantee accuracy of AI-generated suggestions or categorizations
3. Professional Relationship Disclaimer
IMPORTANT: DynaTax is an intermediary marketplace platform only. All tax preparation, review, and filing services are provided by independent licensed professionals. The professional relationship is between YOU and the PROFESSIONAL, not between you and DynaTax.
Tax professionals on DynaTax:
- Are independent contractors, not DynaTax employees
- Maintain their own professional licenses and liability insurance
- Execute separate engagement agreements directly with clients
- Are solely responsible for the quality and accuracy of their work
- File tax returns externally using their own IRS e-file provider credentials
DynaTax performs background checks and license verification through third-party services (Veriff), but is not responsible for professional malpractice, errors, omissions, or any actions taken by independent professionals.
4. AI-Generated Content Disclaimer
AI DISCLAIMER: All AI-generated suggestions, categorizations, fee estimates, and insights are provided for informational purposes only and are NOT professional tax advice. AI suggestions may contain errors and must be reviewed by a licensed professional before relying on them for tax filing purposes.
You acknowledge and agree that:
- AI suggestions are not guaranteed to be accurate, complete, or appropriate for your situation
- AI fee estimates are preliminary only and may differ from professional's final pricing
- Professional review is required before filing any tax return
- You are responsible for providing accurate data to AI processing systems
- DynaTax is not liable for tax penalties, interest, or liabilities resulting from AI suggestions
5. User Responsibilities
You agree to:
- Provide Accurate Information: Supply complete, accurate, and truthful information and documents
- Maintain Account Security: Protect your login credentials and notify us immediately of unauthorized access
- Timely Responses: Respond to professional requests for information within reasonable timeframes
- Payment Obligations: Pay all subscription fees, professional fees, and charges when due
- Compliance: Comply with all applicable tax laws and regulations
- Prohibited Use: Not use the platform for fraudulent, illegal, or unauthorized purposes
- Data Accuracy: Verify all AI-generated categorizations and suggestions before final submission
6. Payment Terms
6.1 Subscription Fees
Client and Professional subscriptions are billed monthly or annually as selected. All fees are in U.S. Dollars and processed through Stripe. By subscribing, you authorize automatic recurring charges.
6.2 Professional Service Fees
Tax preparation fees are between you and the professional. DynaTax facilitates payment processing but is not party to the fee agreement. Refund requests for professional services must be directed to the professional per your engagement agreement.

Subscription fees are non-refundable for partial months. See our Refund Policy for details.
7. Limitation of Liability
IMPORTANT LIMITATION: TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYNATAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Tax penalties, interest, or liabilities assessed by IRS or state authorities
- Professional malpractice or errors by independent tax professionals
- Lost profits, revenue, or business opportunities
- Data loss or corruption
- AI suggestion errors or inaccuracies
- Delays in tax filing or processing
Maximum Liability: Our total liability to you for any claim arising from use of DynaTax shall not exceed the amount you paid to DynaTax in subscription fees during the twelve (12) months preceding the claim, or $100, whichever is greater.
8. Indemnification
You agree to indemnify, defend, and hold harmless DynaTax, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the platform
- Your violation of these Terms
- Your violation of any law or regulation
- Inaccurate information you provide
- Tax liabilities, penalties, or interest assessed on your returns
- Disputes with professionals you engage through the platform
9. Intellectual Property & Trademarks
DynaTax AI Ownership: DynaTax AI Inc. owns all rights to the platform, AI models, algorithms, software, trademarks, logos, and content (excluding user content).
Registered Trademark: "DynaTax AI®" is a registered trademark of DynaTax AI Inc. All rights reserved. Unauthorized use of our trademarks is strictly prohibited.
Your Content: You retain ownership of documents, receipts, and financial data you upload. By uploading, you grant DynaTax AI a license to process, store, and transmit your content to provide services.
AI-Generated Content: AI-generated insights and categorizations are provided for your use. DynaTax AI makes no claim of ownership over AI output. AI output may not be copyrightable under current law.
10. Termination
By You: You may cancel your subscription at any time from account settings. Cancellation takes effect at the end of the current billing period.
By DynaTax: We may suspend or terminate your account immediately if you:
- Violate these Terms
- Provide fraudulent information
- Engage in illegal activity
- Fail to pay fees when due
- Abuse or harass professionals or support staff
Upon termination, your data will be retained per our Privacy Policy(7 years for tax records, then deleted).
11. Dispute Resolution & Arbitration
MANDATORY ARBITRATION: You agree that any dispute arising from these Terms or use of DynaTax shall be resolved through binding arbitration, not court litigation, except for small claims court matters under $10,000.
Arbitration Rules: Disputes will be resolved through JAMS arbitration under JAMS Streamlined Arbitration Rules.
Class Action Waiver: You agree to arbitrate disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
Opt-Out: You may opt out of arbitration within 30 days of account creation by emailing legal@dynatax.ai with "Arbitration Opt-Out" in the subject line.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any arbitration or court proceedings shall take place in Delaware.
13. SMS & Text Message Communications
DynaTax provides an opt-in SMS channel that lets tax professionals (CPAs, EAs, Tax Attorneys, and their firms) communicate with their clients about tax and accounting work. By providing your mobile number and opting in, you agree to the following:
- Opt-in: You opt in by (a) checking the SMS consent box at signup or invitation acceptance, (b) signing your firm’s engagement letter with an SMS clause, or (c) enabling SMS in your account preferences.
- Message types: Transactional notifications (deadline reminders, document requests, payment confirmations, e-signature notifications) and two-way customer-care conversations with your tax professional. No marketing or promotional content.
- Frequency: Variable; typically 1–20 messages per month, with higher frequency during tax-filing season.
- Message & data rates: Standard message and data rates from your wireless carrier may apply. DynaTax does not charge for SMS.
- Opt-out: Reply STOP (or UNSUBSCRIBE, CANCEL, END, QUIT) to any SMS to immediately stop further messages. You can also disable SMS in account preferences.

14. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email 30 days before taking effect. Continued use of the platform after changes constitutes acceptance of modified Terms.
15. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and DynaTax regarding use of the platform.
